Terms of Sale

Article 2 - Purpose and Scope

These Terms govern the sale of VelesDB Premium software licenses, including:

• VelesDB Premium commercial licenses (Professional, Team, Enterprise)
• Technical support according to license level
• Access to updates during the license period

Any order implies unreserved acceptance of these Terms, which prevail over any other document.

Article 3 - Products and Licenses

3.1 VelesDB Core (Elastic License v2)

VelesDB Core is distributed under Elastic License v2 (ELv2). It is free for internal use but cannot be provided as a managed service (DBaaS) to third parties.

3.2 VelesDB Premium (Commercial License)

Premium licenses offer advanced features and dedicated support:

• Professional : 1 instance, email support
• Team : 5 instances, priority support
• Enterprise : Unlimited instances, dedicated support

Article 4 - Pricing and Payment

4.1 Prices

Prices are in euros (EUR) and exclude taxes (HT). Applicable VAT will be added according to the customer's country of residence and status (business or individual).

4.2 Payment Methods

Payment is made by credit card through our secure provider Stripe. Subscriptions are automatically charged according to the chosen frequency (monthly or annual).

4.3 Invoicing

An invoice compliant with French regulations is issued for each payment and sent by email. For B2B customers, the invoice will include mandatory legal information including SIREN/SIRET (mandatory from 2026).

Article 5 - Delivery and Activation

The license is delivered electronically immediately after payment confirmation:

• License key sent by email
• Access to license management dashboard
• Activation documentation

Article 6 - Right of Withdrawal (B2C only)

In accordance with Articles L.221-18 et seq. of the Consumer Code, you have 14 days from the conclusion of the contract to exercise your right of withdrawal, without having to justify reasons or pay penalties.

Article 7 - B2B Conditions

For business customers (B2B):

• Payment deadline : Payment upon order. For Enterprise contracts, a 30-day delay may be granted upon request.
• Late payment penalties : In case of late payment, penalties will be applied at the rate of 3 times the legal interest rate, plus a fixed compensation of €40 for collection costs (Art. L.441-10 Commercial Code).
• No discount : No discount is granted for early payment.

Article 8 - Duration and Termination

8.1 Duration

Licenses are subscribed for a monthly or annual period, tacitly renewable unless terminated.

8.2 Termination

You can cancel your subscription at any time from your customer area. Termination will take effect at the end of the current billing period. No pro-rata refund will be made.

8.3 Consequences of Termination

Upon license expiration, access to Premium features will be disabled. Your data remains accessible via VelesDB Core (ELv2).

Article 9 - Warranties and Limitations

9.1 Legal Warranty of Conformity

In accordance with Articles L.217-3 et seq. of the Consumer Code, the consumer benefits from a 2-year legal warranty of conformity.

9.2 Limitations

To the extent permitted by law, our liability is limited to the amounts actually paid. We shall not be liable for indirect damages, loss of data or operation.

Article 10 - Intellectual Property

10.1 VelesDB Core (Elastic License v2)

VelesDB Core is distributed under Elastic License v2 (ELv2). This license allows free internal use, modification and distribution of the source code, provided that: (1) the software is not provided as a managed service (DBaaS) to third parties, and (2) the license keys or protection mechanisms are not circumvented.

10.2 VelesDB Premium (Commercial License)

The VelesDB Premium license granted is a personal, non-exclusive and non-transferable right of use. All intellectual property rights in VelesDB Premium remain the exclusive property of Wiscale France SAS.

For VelesDB Premium, it is prohibited to:

• Copy, modify or create derivative works from VelesDB Premium components
• Distribute, sell or sublicense the VelesDB Premium software
• Disassemble or decompile the code (except legal exception)
• Use VelesDB Premium to provide a DBaaS service to third parties
• Remove or modify copyright notices and license information

Article 11 - Data Protection

We process your personal data in accordance with GDPR and our Privacy Policy.

Data collected for billing purposes is retained for 10 years in accordance with legal accounting obligations.

Article 12 - Mediation and Disputes

12.1 Claims

12.2 Mediation (B2C)

In accordance with Article L.612-1 of the Consumer Code, in case of unresolved dispute, you can use the mediation service free of charge:

12.3 Applicable Law

These Terms are governed by French law. In case of dispute, and failing amicable resolution, French courts shall have sole jurisdiction.

Article 13 - Modifications to Terms

We reserve the right to modify these Terms. Modifications will take effect 30 days after publication. The applicable conditions are those in force at the date of the order.
